1. Agreement and eligibility
These Terms are between you and AGENEON ("AGENEON", "we", "us", or "our"). By creating an account, joining a workspace, or using the service, you agree to these Terms and the Acceptable Use Policy. You must be legally able to form a binding agreement and authorized to act for any business you represent. Minimum-age requirements remain subject to applicable law and final policy confirmation; the service is not designed for children.
2. Accounts and security
You must provide accurate account information, protect login credentials and connected accounts, and promptly report suspected unauthorized access. You are responsible for activity under your account except to the extent caused by AGENEON's breach of these Terms or applicable law.
3. Workspaces and members
A workspace represents a customer's business environment. The workspace owner controls the workspace, invites or authorizes members, assigns owner/admin/member and operational roles, approves integrations, and is responsible for member activity. Administrators may make significant configuration and data decisions. Disputes about workspace control must be resolved by the customer; AGENEON may request evidence of authority.
4. Access to the service
Subject to these Terms, AGENEON grants the customer a limited, non-exclusive, non-transferable, revocable right to access and use the hosted service for its internal business operations during the applicable service period. No source code, ownership interest, or right to resell the service is granted unless separately agreed.
5. Customer content
Customers retain ownership of content they submit or control, including business profiles, agent instructions, catalog data, Knowledge Base content, customer records, and conversations. The customer grants AGENEON the limited rights necessary to host, process, transmit, reproduce, and display that content to operate, secure, support, and improve the service.
The customer represents that it has the rights, notices, permissions, and lawful basis needed for its content and instructions, including for customer communications, website ingestion, connected calendars, and any personal data processed in a workspace.
6. AI-generated output
AI output can be incomplete, inaccurate, outdated, or inappropriate. The service uses customer-provided context and guardrails but does not guarantee factual accuracy or a particular outcome. Customers must review configurations and test agents before customer use, provide human oversight, and independently verify material decisions, prices, availability, legal/medical/financial statements, and commitments.
AGENEON's handoff signals and routing state help indicate when a person may be needed. They do not guarantee that a notification is sent, a person is available, or a handoff is completed. The current service may record a suggested or requested handoff without delivering an outbound notification.
7. Third-party integrations
Connected services are governed by their own terms and policies. You authorize AGENEON to access and use a connected account only within the permissions you approve. You are responsible for selecting the right account, scopes, calendars, resources, and actions and for keeping your third-party account in good standing.
Google Calendar discovery, free/busy checks, and optional approved event creation are the only implemented business connection described by these Terms. WhatsApp, Instagram, Facebook, Meta commerce, Shopify, and other connections are not promised as active merely because future provider names or interface placeholders exist.
8. Acceptable use
You must comply with law, these Terms, the Acceptable Use Policy, and applicable platform policies. You may not use AGENEON for unlawful, deceptive, abusive, infringing, unsafe, or unauthorized activity; interfere with the service; bypass access controls; extract credentials; or use automated messaging without necessary permission.
9. AGENEON property and feedback
AGENEON and its licensors retain rights in the service, software, interface, documentation, branding, and improvements, excluding customer content. If you provide feedback, AGENEON may use it without restriction or obligation, provided it does not identify confidential customer content publicly.
10. Fees and billing
Self-serve billing is not evidenced as live in the current implementation. If paid plans are introduced, price, taxes, renewal, cancellation, refunds, and payment-provider terms will be presented before purchase or in a separate order. AGENEON should not be treated as storing full payment-card details unless a future checkout explicitly says so.
11. Changes, availability, and previews
AGENEON is under phased development. We may add, change, suspend, or discontinue features, integrations, limits, and preview functionality. We aim to operate the service reliably but do not guarantee uninterrupted or error-free availability. Beta, preview, or coming-soon features may be incomplete and may change before general release.
12. Suspension and termination
You may stop using the service and request account or workspace deletion. AGENEON may restrict or suspend access when reasonably necessary to protect users or the service, respond to legal requirements, address security risk or nonpayment, or investigate a material breach. Where practical, we will provide notice and an opportunity to cure. Rights that by nature should survive termination—including ownership, disclaimers, liability limits, and lawful retention—continue.
13. Disclaimers
To the extent permitted by law, the service is provided “as is” and “as available.” AGENEON disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. This does not exclude rights or warranties that cannot lawfully be excluded.
14. Liability and indemnity
To the extent permitted by law, AGENEON will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data. Any aggregate monetary cap must be confirmed with pricing and the final governing-law terms before production reliance; these Terms do not invent a numeric cap.
You will be responsible for third-party claims to the extent caused by your unlawful content, instructions, connected-account use, or material breach of these Terms. AGENEON will provide reasonable notice and cooperation, and no indemnity applies to the extent a claim was caused by AGENEON. Mandatory legal rights remain unaffected.
15. Registration, governing terms, and contact
AGENEON is the contracting identity under these Terms. Its formal registered suffix, registration number, registered address, and jurisdiction, together with the governing law, courts or arbitration forum, notice mechanics, and dispute-resolution details, will be inserted after final registration and legal review. Until then, applicable mandatory law determines these issues; no jurisdiction is represented here as selected.
